1. GENERAL PROVISIONS

1.1. This purchase and sale agreement (hereinafter the Rules) is a legally binding document that establishes the Buyer’s (hereinafter the BUYER) and Bruss Ltd., code 307541876, registered office and mailing address: P. Dovydaičio g. 68, 50170 Kaunas, Lithuania (hereinafter the SELLER) mutual rights, duties and responsibilities when the BUYER buys goods in the online store.

1.2. The BUYER confirms the Rules with them and check the box "I have read and agree to the Purchase and sale rules". The Rules thus approved are a legal document binding on the Parties, which establishes the rights and obligations of the BUYER and SELLER, the conditions for the purchase and payment of the goods, the procedure for the delivery and return of the goods, the liability of the parties and other conditions related to the sale and purchase of the goods.

1.3. The following persons are allowed to buy goods in our online store:

1.3.1. Capable natural persons, i.e. persons who have reached the age of majority and whose capacity is not limited by the court ruling;

1.3.2. Minors from the age of fourteen to eighteen only holding a parents or guardians’ consent, except for the case when they manage their income independently;

1.3.3. Legal bodies;

1.3.4. Proxies of all the above mentioned persons.

1.4. By accepting the Rules the BUYER confirms his right to shop at the online store in compliance with the provisions of Clause 1.3 above.

2. TIIME OF CONCLUDING THE SALE AND PURCHASE AGREEMENT.

2.1. The Agreement between the SELLER and the BUYER is deemed to be concluded when the BUYER presses the button “Buy”, thus confirming the ordering of goods in the basket. Immediately after sending the order the BUYER receives the SELLER’S confirmation that the order has been received and accepted. The Purchase and Sale Agreement comes into force when the BUYER receives the confirmation about the shipment of goods or receives the goods.

2.2. All agreements made by the SELLER and the BUYER are stored in the online store database.

3. BUYER’S RIGHTS

3.1. The BUYER may buy goods from the online store in the manner set forth by these Rules and the online store.

3.2. The BUYER has a right to withdraw from the purchase and sale agreement concluded with the online store by notifying the BUYER thereof in writing (by e-mail specifying the goods to be returned and the order number) not later than 14 (fourteen) days since the delivery date of the goods.

3.3. The BUYER may use the right specified in Clause 3.2 above only if the goods are not damaged, its appearance had not changed, and it was not used.

3.4. If the BUYER does not notify the SELLER about the order cancellation as provided in Clause 3.2 above, the SELLER may cancel the order without giving a prior notice to the BUYER.

4. BUYER’S OBLIGATIONS

4.1. The BUYER mus pay for the goods and collect them in the manner set forth by these Rules.

4.2. The BUYER must pay the cost of returning goods if the goods are returned not at the SELLER’S fault: the packaging is not damaged, the characteristics of goods meet those specified in the online store.

4.3. The SELLER obliges not to make the login information available to third parties. If the BUYER loses the login information, the SELLER must be immediately informed thereof by the means of communication specified in the tab “Contacts”.

4.4. The BUYER must immediately update the information given in the registration form in the case of information changes.

4.5. The BUYER using the online store is obliged to comply with these Rules and other terms and conditions clearly specified in the online store as well as the legislation of the Republic of Lithuania.

5. SELLER’S RIGHTS

5.1. If the BUYER attempts to jeopardise the stability and safety of the online store or fails to meet the obligations, the SELLER may immediately and without notice restrict the BUYER’S possibility to use the online store or, in exceptional cases, cancel the BUYER’S registration.

5.2. In extraordinary circumstances the BUYER may suspend the online store temporarily or close it forever without prior notice to the BUYER.

5.3. The SELLER may without prior notice to the BUYER cancel the order if after choosing the payment form the BUYER fails to pay for the goods within 2 (two) business days.

6. SELLER’S OBLIGATIONS

6.1. The SELLER undertakes to give the BUYER the opportunity to use the services provided by the online store under the terms and conditions set forth in these Rules and the online store.

6.2. The SELLER obliges to respect the BUYER’S privacy to personal information given in the online store’s registration form, except for the cases provided in the Republic of Lithuania legislation and the Rules on personal data protection.

6.3. Deliver the goods ordered by the BUYER at the specified address in Lithuania within the number of days after the payment day as specified in the online store.

6.4. If in exceptional circumstances the SELLER cannot deliver the ordered goods to the BUYER, the SELLER undertakes to offer similar goods. If the BUYER refuses to accept similar goods, the SELLER shall pay back for the goods within 7 (seven) business days.

7. PRICE OF GOODS, PAYMENT TERMS AND CONDITIONS

7.1. The price of goods in the online store are given in EUR including VAT.

7.2. Delivery costs are not included in the price.

7.3. A €3.00 administration fee applies to shopping carts where the total price of all items does not exceed €7.00. By accepting the Terms and Conditions, the BUYER agrees to the procedure for applying the administration fee specified in this clause and undertakes to pay it to the SELLER. In cases where, as provided for in the Terms and Conditions, the Buyer is refunded for the goods, the small order administration fee is also refunded to the Buyer, if the BUYER had paid it.

7.4. Payment for the ordered goods is done in the forms offered by PAYSERA system, whose client the SELLER is, by direct bank transfer to the SELLER’S account, by PayPal system.

8. DELIVERY OF GOODS

8.1. While ordering the GOODS the SELLER can choose the delivery form, i.e. use the goods delivery service provided by the SELLER’S authorized representative.

8.2. Goods are delivered at the address specified in the order form. Neither the SELLER nor the SELLER’S authorized representative shall bear the responsibility or check if the goods are collected by the persons specified in the order form. That is the BUYER’S responsibility.

8.3. The SELLER undertakes to deliver the goods to the BUYER in accordance with the terms specified in the store descriptions, but no later than 30 days from the date of conclusion of the contract of sale (transaction). If the goods are not delivered to the BUYER within 30 days of the conclusion of the contract of sale (transaction), the SELLER undertakes to refund the money paid by the BUYER within 5 (five) business days by transferring the funds to the bank account specified by the BUYER.

8.4. At the time of delivery the BUYER must together with the SELLER or the SELLER’S authorized representative check the condition of delivered goods.

8.5. Having noticed a damage the BUYER must tick a corresponding place on the invoice (bill of lading) and write a Shipment damage letter.  If the BUYER signs the invoice without giving any notices, the parcel is deemed to have been delivered appropriately.

8.6. In sub-zero temperatures, we recommend against ordering liquid products (paints, liquids, etc.), as low temperatures may affect product quality. By placing an order, the BUYER assumes responsibility for any goods damaged by the cold.

9. RETURNS AND EXCHANGES OF GOODS

9.1. The goods are returned in accordance with the Government of the Republic of Lithuania, The "Retail Rules" approved by Resolution No. 738. of 2014 July 22.

9.2. Goods shall be returned on the following conditions:

9.2.1. The returned goods must be in original intact packaging;

9.2.2. The goods must be not damaged by the BUYER;

9.2.3. The goods must be of merchantable quality (labels intact, protective film not removed etc.). (This clause shall not apply if defective goods are returned. In such cases the rules of returning goods without guarantee shall apply).

9.2.4. The goods must be of the same completeness as received by the BUYER

9.2.5. The goods must be returned together with the purchase document, warranty card (if any).

9.3. We can collect the goods from the place specified by the BUYER. The BUYER must ensure that the goods are given back to the courier at the agreed time. The direct costs relating to the returning of goods shall be borne by the BUYER.

9.4. The money for returned merchantable goods shall be paid back within 14 (fourteen) days since the day of sending the written request to return the goods, provided the goods are returned to the SELLER.

10. LIABILITY

10.1. The BUYER has the sole liability for the correctness of information provided in the registration form. If the BUYER provides wrong data in the registration form, the SELLER is not liable for the consequences thereof.

10.2. The BUYER is liable for the actions taken using this online store.

10.3. The BUYER is liable for giving access to login data to third parties. If a third party uses the services provided by online store by logging in to the internet store in the name of the BUYER, the SELLER shall treat this third party as a BUYER.

10.4. In the event of damage, the guilty party shall compensate the loss incurred by the other party.

11. EXCHANGE OF INFORMATION

11.1. The SELLER shall send all notices at the BUYER’S e-mail address specified in the registration form.

11.2. The BUYER shall send all notices and requests using the means of communication specified in the tab “Contacts” in the SELLER’S online store.

12. WARRANTIES

12.1. All goods sold in the online store have the same warranties as the goods sold in conventional stores.

13. FINAL PROVISIONS

13.1. These rules are drawn in compliance with the legislation of the Republic of Lithuania.

13.2. All disputes between the parties shall be settled through negotiations. Upon failure to resolve amicably, disputes shall be settled in the manner established by the Law of the Republic of Lithuania.
